July 13th, 2020: deadline for reporting to Central Registry of Beneficial Owners (CRBR)
In the package for anti-crisis shield it was decided to extend the deadline for reporting data to Central Registry of Beneficial Owners (CRBR) by the companies founded before October 13th, 2019. There are no changes, however, to the situation of companies founded after October 13th, 2019, for which the deadline for reporting data to CRBR is still 7 days from receiving the NCR – National Court Register (KRS) entry.
What is the Central Registry of Beneficial Owners?
It’s a teleinformatic system run by the Minister of Finance where the information about beneficial owners is stored, e.g. about natural persons that have a direct or indirect control over commercial law companies.
Which subjects are required to report data?
The registry gathers information about beneficial owners of:
- limited liability companies,
- general partnerships,
- limited partnerships,
- limited joint-stock partnerships,
- joint-stock partnerships except for public limited companies as defined in the Act of July 29th, 2005 about public offering and the terms of introducing derivates to an organized organized trading system and about public limited companies (Poland’s Journal of Laws from 2019) item 623),
- simple joint-stock companies (since March 1st, 2021)
How to report data to CRBR?
You can report the data to CRBR free of charge online via an electronic form available at the Ministry of Finance website.
The report must feature a qualified electronic signature or a trusted ePUAP profile by the persons that are entitled to represent the company that’s a subject of this report.
The information placed in CRBR must be accurate and complete. The report contains a statement of the person that submits it that the information placed is true and up to date. In
case of changes of the information submitted, reporting the data update should happen in 7 days (not including Saturdays and bank holidays) from the moment of their change..
We remind you that representatives of the company selected by entities aren’t entitled to submitting a report to CRBR.
